Terms of Use

Preface & Key Points

Ord Collect operates a non-custodial Bitcoin Ordinals launchpad at ordcollect.io (including sub-domains, APIs, dashboards, bots, and widgets, the “Platform”). These Terms are a binding contract between you (“User”) and Ord Collect, governing every visit, wallet connection, mint, listing, purchase, or other interaction.

Read first:

  • We never take custody of your funds or private keys.
  • We are not an exchange, broker-dealer, payment institution, or investment adviser.
  • Ordinals and experimental inscription standards (e.g., BRC-20, Runes) are volatile and risky; transactions are irreversible.
  • Access from internationally sanctioned jurisdictions is forbidden.

If you disagree with these Terms at any time, do not use the Platform.

Definitions

  • Bitcoin Network: the public blockchain maintained by distributed consensus under the Bitcoin protocol.
  • Inscription: a satoshi marked with on-chain data under the Ordinals protocol (“NFT”).
  • Collection: a finite set of Inscriptions with shared branding, rules, or metadata.
  • Launch / Mint: the initial public inscription event for a new Collection via the Platform.
  • Creator: a person or entity originating/controlling the embedded content.
  • Service Fees: platform commissions or mark-ups described in §8.

Eligibility & Geographic Restrictions

  • Age: you must be 18+ (or the age of majority where you live, if higher).
  • Sanctions: users who are citizens, residents, located in, or ordinarily resident in sanctioned territories (including Iran, DPRK, Syria, Cuba, Crimea, Donetsk, Luhansk, and regions listed by OFAC/EU/UN/UK) are barred.
  • Legal capacity: you warrant that your local law permits use of non-custodial blockchain services and that you act for yourself, not for a prohibited party.
  • Compliance checks: we may apply IP-based geofencing, blockchain analytics, and third-party screening. We may request KYC or refuse access without explanation.

Nature of the Platform

  • Pure middleware: we prepare, help you sign (client-side), and broadcast Ordinals transactions; we do not hold or control your assets.
  • No fiduciary duties: we are not your broker, trustee, escrow, or guarantor.
  • Experimental tech: you acknowledge significant technical, financial, and regulatory risk.

Account, Wallet & Security

  • Non-custodial wallet required (e.g., Xverse, Unisat, Hiro).
  • Self-custody: private keys never leave your device; you are responsible for backups and key hygiene.
  • Hot vs cold: use a dedicated hot wallet for minting and a separate cold wallet for long-term storage.
  • Device hygiene: keep OS, browsers, extensions, and hardware wallets up to date.
  • Third-party wallets: wallets/extensions are outside our control; use at your own risk. We will not compensate losses caused by malware, key-logging, SIM-swaps, phishing, or compromised extensions.

Creator Obligations & Content Standards

  • Warranties: by uploading metadata or initiating a Collection, you represent and warrant that you own or have valid licenses for all IP (art, audio, marks, likeness), your content is lawful and does not include CSAM/illegal material, and metadata does not link to malicious code or illegal files.
  • Prohibited content: we may purge, hide, or refuse Inscriptions that violate these warranties, facilitate money laundering/terrorism financing/sanctions evasion, or are subject to credible takedown notices.
  • License to Ord Collect: you grant a worldwide, non-exclusive, royalty-free, sublicensable license to cache, index, and publicly display metadata/thumbnails to operate and improve the Platform.

User Conduct

You agree not to: engage in wash trading or manipulation; exploit protocol bugs; exceed public API limits; introduce malware/phishing; post defamatory/hateful/fraudulent statements; misrepresent provenance; or circumvent regional blocks and trade controls.

Marketplace Mechanics

  • Primary launches: creators set schedule, supply, price, and optional allowlists; we display parameters transparently.
  • Secondary listings (if enabled): we may index on-chain P2P orders; we do not match orders or provide escrow.
  • Irreversibility: once broadcast to the Bitcoin Network, transactions cannot be reversed; we cannot cancel inscriptions.
  • Metadata persistence: we may pin to decentralized storage (e.g., IPFS/Arweave) but do not guarantee permanent hosting or availability. On-chain content cannot be deleted, though UI listings may be removed.

Fees, Royalties & Taxes

  • Network (miner) fees: paid from your wallet to use Bitcoin block space.
  • Platform transparency: other than network fees, all platform fees are disclosed prior to signature.
  • Service fees: if applicable, platform commissions or flat charges are shown before you sign.
  • Creator royalties: creators may specify optional royalties on future on-chain transfers; enforcement depends on external standards beyond our control.
  • Promo: Noonesees holders only pay 2000 sats per order. Ord Collect may modify or end this offer at any time.
  • Taxes: you are solely responsible for any taxes arising from your transactions; we do not provide tax advice.

IP Procedure (DMCA & Analogues)

  • Notices: rights-holders may email ordcollect69@gmail.com with the URL, proof of ownership, and a sworn statement.
  • Counter-notice: alleged infringers may respond; we may restore content within applicable timelines.
  • Repeat infringers: multiple substantiated notices may result in permanent disablement.

Risk Disclosures (Non-Exhaustive)

  • Protocol risks: indexer changes, inscription ID shifts, forks, mempool congestion.
  • Smart-inscription bugs: malformed reveals, recursive rendering failures, JSON/script exploits.
  • Regulatory change: new rules may restrict minting or require licenses.
  • Market volatility: prices may swing or drop to zero; liquidity can vanish.
  • Security threats: phishing, supply-chain attacks, malicious extensions.

Indemnification

You will indemnify, defend, and hold harmless Ord Collect and its personnel from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms or law, your uploaded content/metadata, or your fraudulent, negligent, or wilful acts.

Warranty Disclaimer & Liability Limit

  • AS IS / AS AVAILABLE: no warranties of any kind (express, implied, or statutory).
  • Liability cap: to the maximum extent permitted by law, Ord Collect’s aggregate liability to you for all claims in any 12-month period will not exceed US$100 or the total Service Fees you paid to us in that period, whichever is greater.
  • No consequential damages: we are not liable for indirect, incidental, special, punitive, or consequential damages (including lost profits/data/reputation).
  • Force majeure: no liability for events beyond our reasonable control (e.g., outages, disasters, war, protocol attacks).

Suspension & Termination

We may suspend or terminate access at any time if we believe you violated these Terms, engaged in fraud/illegal activity, or created risk for users or for Ord Collect. Termination does not waive accrued rights.

Amendments

We may amend these Terms by posting an updated version on the Platform. Updates take effect upon posting; continued use constitutes acceptance. Material changes will be announced via banner or email (if you provided one).

Governing Law & Dispute Resolution

  • Governing law: the laws of the State of Delaware, USA, without regard to conflicts of law.
  • Arbitration: disputes exceeding US$10,000 shall be resolved by binding arbitration under AAA rules, seat Wilmington, Delaware, language English. Smaller disputes may be brought in the competent courts of Delaware.
  • Class-action waiver: both parties waive the right to participate in class or representative actions.

Miscellaneous

Entire agreement; no partnership; severability; no assignment by users without consent; we may assign in connection with a merger or asset sale; sections 5–12 and 15–16 survive termination.
